JAANE Terms of Use

These Terms of Use (hereinafter referred to as the “Terms”) set forth the conditions for using the service “JAANE” (collectively including its individual features such as “Future Message” and “Bucket List,” hereinafter referred to as the “Service”) provided by Z Inc. (hereinafter referred to as the “Company”).
Users of the Service (hereinafter referred to as the “User(s)”) must agree to all provisions of these Terms before using the Service.

Article 1 (Application)

  • 1. These Terms shall apply to all relationships between the User and the Company regarding the use of the Service.
  • 2. In addition to these Terms, the Company may establish various provisions such as guidelines or rules for use (hereinafter referred to as “Individual Provisions”). Regardless of their titles, such Individual Provisions shall constitute a part of these Terms.
  • 3. In the event of any inconsistency between the provisions of these Terms and any Individual Provisions, the provisions of these Terms shall prevail unless otherwise specifically provided in the Individual Provisions.

Article 2 (User Registration)

  • 1. User registration shall be completed when the applicant agrees to these Terms, applies for registration in the manner prescribed by the Company, and the Company approves the application.
  • 2. The Company may refuse registration if it determines that any of the following apply, and shall have no obligation to disclose the reason for such refusal:
    • False information was submitted in the registration application;
    • The applicant has previously violated these Terms;
    • The applicant is involved with, or related to, antisocial forces; or
    • The Company otherwise deems registration inappropriate.

Article 3 (Management of User ID and Password)

  • 1. The User shall manage their User ID and password for the Service under their own responsibility.
  • 2. The User shall not assign, lend, or share their User ID or password with any third party. If the combination of ID and password matches the registered information and the Service is accessed, the Company will deem such access as made by the registered User.
  • 3. The Company shall not be liable for any damages arising from unauthorized use of a User’s ID or password by a third party, except in cases of willful misconduct or gross negligence by the Company.

Article 4 (Contents of the Service)

The Company shall provide the following services to the User. Details may be separately stipulated in the Individual Provisions.

  • 1. Future Message

    Users may register messages and designate recipients within the Service. The Company will send the registered messages to the recipients when certain transmission conditions specified by the Company are met.
    Users are advised to carefully check Service notifications to ensure messages are not transmitted unintentionally.
    Recipients may read the messages only if they have completed user registration under Article 2.
    The Future Message feature may not be used as a will or for any other legally binding acts.

  • 2. Bucket List

    Users may register their goals or aspirations within the Service.

Article 5 (Fees and Payment Methods)

  • 1. When the Company separately specifies fees for the Service, Users shall pay such fees by the method designated by the Company.
  • 2. If payment is delayed, the User shall pay a late payment charge at an annual rate of 14.6%.

Article 6 (Prohibited Acts)

Users shall not engage in any of the following acts, or any act that may reasonably be deemed to fall under them, in connection with the Service:

  • (1)Using the Future Message feature for wills or other legal acts;
  • (2)Violating laws, regulations, or public order and morals;
  • (3)Engaging in or encouraging criminal acts;
  • (4)Infringing copyrights, trademarks, or other intellectual property rights related to the Service;
  • (5)Infringing the intellectual property rights of others;
  • (6)Damaging or interfering with servers or networks of the Company or third parties;
  • (7)Using the Service for unlawful or improper purposes unrelated to its original intent;
  • (8)Causing disadvantage, damage, or discomfort to other Users or third parties;
  • (9)Impersonating another User;
  • (10)Attempting or engaging in unauthorized access;
  • (11)Interfering with the operation of the Service;
  • (12)Collecting or storing personal information about other Users;
  • (13)Using the Service for advertising, solicitation, or business purposes without the Company’s consent;
  • (14)Commercially exploiting information obtained through the Service;
  • (15)Using the Service to meet strangers of the opposite sex;
  • (16)Providing benefits directly or indirectly to antisocial forces;
  • (17)Any other act deemed inappropriate by the Company.

Article 7 (Suspension or Interruption of the Service)

The Company may suspend or interrupt all or part of the Service without prior notice if:

  • (1)Maintenance or updates of the Service system are required;
  • (2)Force majeure such as natural disasters, lightning, fire, power outages, or communication failures occur;
  • (3)System or communication line failures arise; or
  • (4)The Company otherwise deems it unavoidable for operational reasons.
    The Company shall not be liable for any loss or damage incurred by Users or third parties due to such suspension or interruption.

Article 8 (Usage Restrictions and Deregistration)

  • 1. The Company may, without prior notice, restrict a User’s access to the Service or cancel their registration if any of the following apply:
    • (1)Violation of these Terms;
    • (2)Submission of false registration information;
    • (3)Non-payment of fees;
    • (4)Failure to respond to Company communications for a certain period;
    • (5)Inactivity for a certain period;
    • (6)The Company deems the use of the Service inappropriate.
  • 2. The Company shall not be liable for any damages incurred by the User due to such actions.

Article 9 (Intellectual Property Rights)

  • 1. Users may post or upload only content (texts, images, videos, etc.) for which they own necessary intellectual property rights or have obtained the necessary permissions from right holders.
  • 2. Copyrights in such content posted or uploaded by Users shall remain with the Users or existing right holders. However, the Company may use such content as necessary for improving, publicizing, or correcting defects in the Service. Users agree not to exercise moral rights against such use.
  • 3. Except as otherwise provided, all intellectual property rights related to the Service belong to the Company or licensed right holders. Users shall not reproduce, transfer, lend, translate, modify, reprint, publicly transmit, distribute, publish, or commercially use any such information without authorization.

Article 10 (Disclaimer)

  • 1. The Company makes no express or implied warranty that the Service is free from defects, errors, bugs, infringements, or lacks defects regarding safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security.
  • 2. The Company shall not be liable for any damage arising from the use of the Service except in cases of willful misconduct or gross negligence.
  • 3. Even if the Company is liable for damages, the total liability shall not exceed the total amount of fees paid by the User to the Company during the 12 months preceding the occurrence of the damage.
  • 4. The Company shall not be involved in or liable for any disputes, transactions, or communications between Users or between a User and any third party related to the Service.

Article 11 (Withdrawal)

Users may withdraw from the Service through the prescribed procedure. Any rights and obligations already accrued between the User and the Company prior to withdrawal shall remain unaffected.

Article 12 (Changes to Service Content)

The Company may, with prior notice to Users, change, add, or discontinue all or part of the Service. Users agree to such changes.

Article 13 (Amendments to the Terms)

  • 1. The Company may amend these Terms without obtaining individual consent from Users.
  • 2. For material amendments, the Company will notify Users in advance and obtain consent as necessary.

Article 14 (Handling of Personal Information)

The Company shall appropriately handle personal information obtained through the Service in accordance with its Privacy Policy.

Article 15 (Notices and Communications)

Notifications or communications between the User and the Company shall be made in the manner prescribed by the Company. Unless the User notifies the Company of any change, the Company shall deem the currently registered contact information valid, and any notice sent to it shall be deemed received at the time of dispatch.

Article 16 (Prohibition of Assignment of Rights and Obligations)

Users may not assign, transfer, pledge, or otherwise dispose of their contractual status or any rights or obligations under these Terms to any third party without prior written consent from the Company.

Article 17 (Governing Law and Jurisdiction)

  • 1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  • 2. For any disputes arising in relation to the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance for Users residing in Japan.
